1.0 Acceptance of Terms

1.1 Binding Agreement

These Terms of Agreement (“Terms”) constitute a legally binding contract between you (the “User”), the entity you represent (the “Organization”), and ACE Group (“the Provider”) regarding your use of the QuickCheque Bank Verification Platform (“the Service”). By clicking “I Accept” or by accessing the Service, you agree to comply with and be bound by these Terms.

1.2 Ownership and Intellectual Property

QuickCheque is a proprietary digital asset owned and operated by ACE Group. All software, code, proprietary algorithms, logos, and interface designs are the exclusive property of ACE Group. Users are granted a limited, non-exclusive, non-transferable license to use the Service for its intended professional purpose.

1.3 Authority to Bind

By using the Service, you represent and warrant that you have the legal authority to bind your Organization to these Terms. Afeez Olajire, CEO/Managing Partner, ACE Group, or his designated Platform Admins, reserves the right to suspend any account if this authority is called into question.

2.0 Authorized Use Only

2.1 Permitted Business Purposes

QuickCheque is provided solely for the purpose of verifying bank account details to ensure payment accuracy and prevent financial fraud. Use of the Service for personal gain, private investigations, or any purpose outside of the Organization’s official financial operations is strictly prohibited.

2.2 Corporate Identity Requirement

To maintain security and auditability, all User accounts must be linked to an official corporate email address. The use of generic or personal email providers (e.g., @gmail.com, @yahoo.com) is not permitted unless an explicit exception is granted by the Platform Admin for specific external consultants or partners.

2.3 Credential Security

Users are responsible for maintaining the confidentiality of their login credentials. Any action performed under a User’s account is deemed to be the action of that User. Sharing accounts between multiple staff members is a violation of these Terms and may lead to the revocation of access for the entire Organization.

3.0 User Roles & Account Security

3.1 Role-Based Access Control (RBAC)

To ensure data integrity and security, ACE Group implements a strict RBAC model within QuickCheque. Every User is assigned a specific role with defined permissions:

  • Platform Admin (ACE Group IT): Manages the global infrastructure, system health, and Service Provider (API) integrations. They do not interfere with Organization data except for technical support.
  • Org Admin: The primary lead for an invited Organization. They have the power to invite/deactivate Users within their Org and view all internal audit logs.
  • Standard User: Authorized to perform single and bulk verifications. They can view their own history but cannot manage other users.
  • Auditor: A “Read-Only” role designed for compliance officers to view verification results and logs without the ability to perform new verifications or change settings.

3.2 Multi-Factor Authentication (MFA)

Security is a shared responsibility. ACE Group requires MFA for all Administrative roles (Platform and Org Admins). Standard Users may be prompted for MFA based on the Organization’s security profile. Failure to maintain an active MFA method may result in temporary account lockout.

3.3 Security Breach Notification

The Organization must immediately notify the QuickCheque Support Team if:

  • An employee with access to the platform leaves the Organization.
  • There is any suspicion that a password or MFA device has been compromised.
  • Unauthorized verification activity is detected in the Audit Logs.

4.0 Bulk Verification & Fair Use

4.1 System Performance & Throttling

To ensure a consistent experience for all users, ACE Group monitors system load in real-time.

  • Rate Limiting: The Service may implement automated throttling on bulk uploads if an Organization exceeds the “Fair Use” threshold (e.g., more than 5,000 requests in a 10-minute window).
  • Queue Management: Large batches (defined as files containing >1,000 records) may be processed asynchronously. Users will receive a notification once the processing is complete.

4.2 Prohibited Data Harvesting

QuickCheque is a verification tool, not a discovery tool. Users are strictly prohibited from:

  • Uploading lists of sequential account numbers to “fish” for account names.
  • Using automated scripts to “brute force” the banking APIs through the QuickCheque interface.
  • Any activity that mimics “Data Scraping” or unauthorized bank database indexing.

4.3 Input Data Integrity

The Organization is solely responsible for the accuracy and formatting of the data uploaded via CSV or Excel.

  • Format Compliance: Files must adhere to the template provided by the Platform Admin (e.g., correct Bank Codes and 10-digit NUBAN formats).
  • Corrupted Files: ACE Group is not liable for failed verifications or system errors resulting from corrupted, improperly encoded, or malicious files uploaded by the User.

5.0 Prohibited Activities

5.1 System Interference

Users shall not:

  • Attempt to bypass or break the “Organization Wall” to see another tenant’s data.
  • Inject malicious code, SQL commands, or scripts into the platform’s input fields.
  • Use the Service to transmit any viruses, worms, or “Trojan horses.”

5.2 Commercial Misuse

The Service is licensed for the internal business operations of the invited Organization only. Users may not:

  • Sell access to QuickCheque to third parties.
  • Charge external fees for verifications performed on the platform.
  • Use the Service to build a competing bank account verification database.

6.0 Limitation of Liability

6.1 Third-Party Data Accuracy

QuickCheque retrieves Result Data directly from external Service Providers and Financial Institutions. ACE Group does not create, modify, or verify the underlying bank records.

  • We do not warrant that the information returned (Account Names) is 100% accurate at all times, as this depends entirely on the accuracy of the bank’s own database.
  • ACE Group is not liable for any financial loss resulting from a “false positive” or “false negative” returned by a third-party bank.

6.2 Service Availability (Uptime)

While we strive for 99.9% platform availability, ACE Group is not liable for service interruptions caused by:

  • Scheduled maintenance (notified in advance).
  • Downtime of third-party APIs (e.g., Paystack/Flutterwave outages).
  • General internet infrastructure failures or telecommunications issues within Nigeria.

6.3 Cap on Liability

To the maximum extent permitted by law, ACE Group’s total liability to any Organization for any claim arising out of the use of QuickCheque (whether in contract, tort, or otherwise) shall not exceed the total fees paid by that Organization to use the Service during the six (6) months preceding the claim. If the service was provided free of charge, the liability is capped at a nominal amount.

7.0 Indemnification

7.1 Organizational Responsibility

The Organization agrees to indemnify, defend, and hold harmless ACE Group, its directors, and employees from any claims, damages, or legal fees arising from:

  • A User’s violation of these Terms.
  • The misuse of verification data retrieved from the platform.
  • Any unauthorized access to the platform caused by the Organization’s failure to secure its login credentials.

8.0 Fees and Payments

8.1 Service Fees

The Organization agrees to pay ACE Group the fees associated with the use of the Service as outlined in the current Price List or the specific Service Level Agreement (SLA) signed by the Organization.

8.2 Billing and Payment

  • All fees are quoted in Nigerian Naira (NGN).
  • Payments are due according to the schedule defined during onboarding (e.g., “Pay-as-you-go” credits or monthly or annual invoicing).
  • ACE Group reserves the right to adjust pricing with at least 30 days’ notice to the Organization.

8.3 Suspension for Non-Payment

In the event of an overdue balance or exhausted credits, ACE Group reserves the right to automatically suspend the Organization’s access to the Service until the account is brought into good standing.

9.0 Termination of Service

9.1 Termination for Cause by ACE Group

ACE Group reserves the right to suspend or permanently terminate access to QuickCheque immediately and without prior notice if:

  • Payment Failure: The Organization fails to settle outstanding invoices or maintain a sufficient credit balance as required in Section 8.0.
  • Security Breach: A User attempts to bypass system security, “scrape” bank data, or access the data of another Organization.
  • Misuse: The platform is used for non-business purposes or in violation of the “Prohibited Activities” (Section 5.0).
  • Reputational Risk: The Organization’s use of the platform brings ACE Group into legal or regulatory disrepute.

9.2 Voluntary Termination by the Organization

An Organization may terminate its use of QuickCheque at any time.

  • To ensure a secure exit, the authorized Org Admin must submit a formal request to the QuickCheque Support Team.
  • Termination will be effective once all outstanding fees have been settled.

9.3 Effect of Termination & Data Access

Upon termination (whether voluntary or for cause):

  • Access Revocation: All login credentials for that Organization will be deactivated instantly.
  • Final Export: The Organization may request a final export of their verification history within 30 days of termination, provided no fees are outstanding.
  • Audit Retention: As defined in our Privacy Policy, ACE Group will retain the historical verification logs (Audit Trail) for the statutory period of seven (7) years to satisfy legal and financial audit requirements.

9.4 Survival of Terms

Provisions regarding Intellectual Property (Section 1.2), Limitation of Liability (Section 6.0), and Indemnification (Section 7.0) shall survive the termination of this agreement.

10.0 Governing Law & Dispute Resolution

10.1 Governing Law

These Terms of Agreement and your use of the QuickCheque platform shall be governed by, and construed in accordance with, the laws of the Federal Republic of Nigeria.

10.2 Amicable Settlement (Negotiation)

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the parties shall first attempt to resolve the matter through good-faith negotiations between senior representatives of the Organization and ACE Group (or its designate).

10.3 Mediation and Arbitration

If the dispute is not resolved through negotiation within thirty (30) days:

  • The parties may agree to refer the matter to the Abuja Court of Arbitration or a similar recognized body in Nigeria.
  • The language of the proceedings shall be English.
  • The decision reached through such mediation or arbitration shall be final and binding on both parties.

10.4 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of law, that provision will be removed or modified to the minimum extent necessary, and the remaining provisions will continue to be in full force and effect.

  • You have read and understood these Terms of Agreement and the Privacy Policy.
  • You have the authority to bind your Organization to these terms.
  • You agree that this electronic acceptance carries the same legal weight as a physical signature.
